1. Agreement
By purchasing the Utopia WordPress theme from utopiatheme.com, you agree to be bound by these Terms and Conditions. If you do not agree, do not complete the purchase.
2. Product and Pricing
Utopia is offered in two plans (each with annual and lifetime options):
- Personal — USD $79/year or USD $199 lifetime. Use on 1 website you own or operate for yourself.
- Studio (Agency / Developer license type) — USD $179/year or USD $449 lifetime. Unlimited websites, including client projects.
All prices are in US dollars. Payment is processed through Paddle.com Market Limited (Merchant of Record). Paddle accepts credit cards, PayPal, Apple Pay, and more. Currency conversion may apply depending on your payment method and card issuer.
3. License Types
Personal License (PER-): You may use the theme on 1 website you personally own or operate, access theme features, and receive updates and standard support during your license term. You may not use this plan for unlimited client production work, resell or redistribute the theme files, or share your license key.
Studio License (DEV- / Agency): You may use the theme on unlimited websites, including client sites where you build or manage the site. You may customize the theme for clients. You may not resell or redistribute the theme files as a standalone product, or share your license key with third parties.
4. Payment and Delivery
Payment is processed securely through Paddle.com Market Limited (Merchant of Record). Paddle accepts credit cards, PayPal, Apple Pay, and other methods. We do not store your full card details. Invoices are issued by Paddle on our behalf. Upon successful payment, your license key and download link will be sent to the email address provided at checkout. Delivery is typically immediate. If you do not receive your license key within 24 hours, please contact us.
5. Refund Policy
Because this is a digital product, we do not offer refunds for change-of-mind alone. Within 14 days of purchase, refunds may be considered only if one of the following applies:
- Defect / malfunction: a material defect or malfunction not consistent with our documentation, and we cannot resolve it within a reasonable support period.
- Pre-production evaluation: you have not begun ongoing use on a publicly launched production site, and after evaluation you decide the theme is not suitable (license activation for staging/local testing is allowed).
If a refund is approved, the license will be revoked and you must stop using the theme and remove installed files immediately. Approved refunds are typically processed within 14 business days via the payment provider.
Not eligible: requests after ongoing production use, continued use after refund, abuse, or sharing/redistributing license keys.
6. Intellectual Property
The theme, including all code, design, and documentation, remains the property of the licensor. You receive a limited, non-exclusive license to use the theme in accordance with your plan.
7. Support
Personal License holders receive standard support via email. Studio License holders receive priority support; we aim to respond within 1 to 2 business days. Support covers installation, configuration, and usage of the theme. It does not cover custom development, third-party plugins, or hosting issues.
8. Updates
Theme updates are provided during your license term. Lifetime licenses include updates while the product is actively maintained. Annual licenses receive updates for the paid period; renewal is required for continued updates after expiry.
9. Limitation of Liability
The theme is provided “as is.” We do not warrant that it will be error-free or uninterrupted. We are not liable for any indirect, incidental, or consequential damages arising from your use of the theme. Our total liability shall not exceed the amount you paid for the theme.
10. Termination
If you breach these terms, we may terminate your license without refund. Upon termination, you must cease using the theme and remove it from all websites.
11. Changes to Terms
We may update these Terms and Conditions. Material changes will be posted on this page with an updated date. Continued use of the theme after changes constitutes acceptance.
12. Governing Law
These terms are governed by the laws applicable to the seller’s place of business (United States entity), unless mandatory consumer protection law in your country requires otherwise.
